The Website provides information and resources about SportChatPro and our software and services for youth sports organizations.

Among other things, the Website may allow you to:

• Learn about SportChatPro products and services;
• Request information or demonstrations;
• Schedule a demonstration;
• Submit forms or other inquiries;
• Read articles, educational materials, and other content;
• Access support resources;
• Sign up to receive newsletters, product information, announcements, or other communications; and
• Access links to the SportChatPro application and other resources.

The Website is primarily informational and promotional. Use of the SportChatPro software application by customers and authorized users may be subject to additional customer agreements, subscription terms, policies, or other terms applicable to those services.

Forms and Communications

The Website may provide forms through which you can request a demonstration, contact us, request support, receive information, or otherwise communicate with SportChatPro (“Forms”).

By submitting information through a Form, you represent that:

• You are legally permitted to provide the information;
• The contact information you provide belongs to you or you are authorized to provide it;
• The information you provide is accurate to the best of your knowledge; and
• You will not knowingly provide false, misleading, fraudulent, or unlawful information.

When you request information from us or otherwise provide your contact information, we may use that information to respond to your request and communicate with you about SportChatPro.

Where applicable, you may unsubscribe from promotional email communications using the unsubscribe mechanism included in those communications. Certain transactional, service-related, or requested communications may not be subject to promotional opt-out mechanisms.

Acceptable Use of the Website

You may use the Website only for lawful purposes and in accordance with these Terms.

You may not:

• Use the Website to engage in illegal, fraudulent, malicious, abusive, or deceptive activity;
• Attempt to gain unauthorized access to the Website, SportChatPro systems, customer accounts, servers, networks, or data;
• Interfere with or attempt to interfere with the proper operation or security of the Website;
• Introduce viruses, malware, malicious code, or other harmful technology;
• Use any device, software, or routine in a manner intended to disable, overburden, damage, or impair the Website;
• Circumvent or attempt to circumvent security or access-control measures;
• Collect or harvest personal information from the Website without authorization;
• Copy, reproduce, republish, distribute, or commercially exploit Website content except as permitted by law or with our written permission;
• Use automated tools to scrape, systematically extract, or reproduce substantial portions of the Website except as authorized by us or permitted by applicable law;
• Misrepresent your identity, affiliation, or authority; or
• Use the Website in a way that infringes the intellectual-property, privacy, publicity, contractual, or other rights of another person or organization.

We reserve the right to restrict or block access to the Website when reasonably necessary to protect SportChatPro, our systems, our customers, or others.

SportChatPro Application and Customer Services

The Website may contain links that allow customers and authorized users to access the SportChatPro application.

These Website Terms do not necessarily constitute the complete agreement governing a customer's purchase or use of SportChatPro software or services.

Paid services, customer accounts, subscriptions, organizational data, service levels, payment obligations, termination rights, and other aspects of the SportChatPro application may be governed by separate agreements, order forms, subscription terms, policies, or other terms entered into between SportChatPro and the applicable customer.

If a specific written customer agreement conflicts with these Website Terms regarding a customer's use of the SportChatPro service, the applicable customer agreement will control with respect to that subject matter.

Third-Party Resources

The Website may provide links to or access to websites, software, content, services, integrations, or information owned or operated by third parties (“Third-Party Resources”).

SportChatPro does not control Third-Party Resources and is not responsible for their availability, content, accuracy, security, privacy practices, terms, products, or services.

The availability of a link or other access to a Third-Party Resource through the Website does not necessarily constitute SportChatPro's endorsement, sponsorship, or approval of that resource.

Your use of Third-Party Resources may be subject to separate terms and privacy policies established by the applicable third party.

Intellectual Property

SportChatPro and its licensors own or license the Website and the content made available through it, including software, text, graphics, interfaces, designs, logos, branding, documentation, photographs, videos, and other materials, except where otherwise indicated.

These materials are protected by applicable copyright, trademark, and other intellectual-property laws.

Except as permitted by law or expressly authorized by SportChatPro in writing, you may not copy, reproduce, modify, publish, distribute, sell, license, create derivative works from, or commercially exploit protected SportChatPro materials.

SportChatPro names, logos, product names, service names, and other brand identifiers may be trademarks or trade names of SportChatPro. Nothing in these Terms grants you ownership of or a license to use those marks except as necessary to identify SportChatPro or its products and services in a lawful nominative manner.

Privacy

SportChatPro respects the privacy of individuals who visit the Website or provide information to us.

Our Privacy Policy explains the types of personal information we may collect, how we collect and use that information, circumstances in which information may be shared, and the choices that may be available to you.

The Privacy Policy addresses our data practices. These Terms, by contrast, establish the rules and legal conditions governing your use of the Website.

Information About SportChatPro Products and Services

We make reasonable efforts to provide useful and accurate information about SportChatPro. However, the Website may describe products, functionality, features, integrations, or services that are under development, subject to change, or not available to every customer.

Website content does not create a guarantee that a particular feature or service will be available unless that commitment is expressly included in a written agreement with the applicable customer.

SportChatPro may modify its products, services, features, pricing, packaging, or Website content from time to time.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND INFORMATION PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SPORTCHATPRO MAKES NO WARRANTY OR REPRESENTATION THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, SPORTCHATPRO DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPORTCHATPRO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, SUFFICIENCY, RELIABILITY, OR USEFULNESS OF ALL INFORMATION MADE AVAILABLE THROUGH THE WEBSITE OR THAT INFORMATION PROVIDED THROUGH THE WEBSITE WILL MEET YOUR PARTICULAR REQUIREMENTS.

Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPORTCHATPRO AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

Any limitations applicable specifically to a customer's use of paid SportChatPro software or services may instead be governed by the applicable customer agreement.

Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless SportChatPro and its owners, officers, directors, employees, agents, contractors, affiliates, and representatives from third-party claims, liabilities, damages, losses, costs, and reasonable legal fees arising from:

• Your material violation of these Terms;
• Your unlawful use of the Website; or
• Your violation of the rights of another person or organization through your use of the Website.

This section does not require indemnification to the extent a claim results from SportChatPro's own conduct for which indemnification may not lawfully be required.

Dispute Resolution

If a dispute, claim, question, or disagreement arises from or relates to these Terms or use of the Website (a “Dispute”), you and SportChatPro agree to first use reasonable, good-faith efforts to resolve the Dispute informally.

Upon either party receiving written notice of a Dispute, the parties will attempt in good faith to reach a mutually acceptable resolution.

If the Dispute has not been resolved after at least thirty (30) days following receipt of written notice, either party may request mediation.

Unless otherwise mutually agreed, the parties will attempt to select a mutually acceptable mediator within thirty (30) days after a request for mediation. The mediator should be licensed to practice law in Texas, have appropriate mediation experience, and be independent of the parties.

If good-faith mediation does not resolve the Dispute, either party may request that the Dispute be finally resolved through binding arbitration administered by JAMS in accordance with the applicable JAMS rules and procedures.

Unless the parties agree otherwise, mediation and arbitration may be conducted virtually, and fees and costs charged by the mediator or arbitration provider will be allocated as required by applicable law, the applicable JAMS rules, or agreement of the parties.

Nothing in this section prevents either party from seeking temporary or emergency equitable relief from a court of competent jurisdiction when necessary to protect intellectual property, confidential information, systems, accounts, or other rights pending resolution of a Dispute.

Confidentiality of Dispute Resolution

To the extent permitted by law, communications, information, documents, and materials created or exchanged specifically for purposes of settlement negotiations or mediation will be treated as confidential.

Information that is independently public, otherwise discoverable, or otherwise admissible does not become confidential, undiscoverable, or inadmissible merely because it was also used during negotiations or mediation.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas and applicable federal laws of the United States, without regard to conflict-of-law principles.

The Federal Arbitration Act will govern the interpretation and enforcement of any agreement to arbitrate contained in these Terms to the extent applicable.

Changes to These Terms

SportChatPro may revise these Terms from time to time to reflect changes to the Website, our practices, applicable laws, or other circumstances.

The “Last revised” date at the top of this page indicates when these Terms were most recently updated.

When appropriate, we may provide additional notice of material changes.

Miscellaneous

These Terms and the SportChatPro Privacy Policy constitute the terms applicable to use of the public Website with respect to their respective subject matters, except where another agreement expressly applies.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

Headings are provided for convenience and do not affect interpretation of these Terms.
